Welcome to CliniCareer! These Terms of Service ("Terms") govern your access to and use of the website clinicareer.com and all associated services (collectively, the "Service"), which are owned and operated by Physician Tools LLC ("Company," "we," "us," or "our").

Please read these Terms carefully before using our Service. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Agreement to Terms

By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization and promising that you have the authority to bind that organization to these terms.

2. Alpha Testing Program

You acknowledge that the Service is currently being provided as part of an "Alpha" testing program. Your participation is voluntary. As an Alpha tester, you understand and agree to the following:

• No Guarantees: The Service is provided "as is" and "as available" without any warranties. Features may be added, modified, or removed without notice. We do not guarantee that the Service will be operational, error-free, or uninterrupted.
• Data Permanence: We do not guarantee the permanence of any data you enter into the Service during the Alpha period. Your data may be deleted, lost, or corrupted at any time. You are responsible for maintaining your own backups.
• Right to Terminate Access: We reserve the right to suspend, terminate, or restrict your access to the Alpha program at any time, for any reason, without prior notice or liability.
• Confidentiality: You may have access to confidential information about the Service. You agree not to disclose any non-public information about the Service to any third party without our prior written consent.

3. Eligibility

The Service is intended solely for licensed physicians. By using the Service, you represent and warrant that you are a licensed physician. The Service is not available to any users previously removed from the Service by us. Furthermore, you must be at least 18 years of age to use the Service. Use of the Service by anyone under 18 is strictly prohibited.

4. Your License to Use the Service

Subject to your compliance with these Terms, Physician Tools LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, personal, and worldwide license to access and use the Service for your professional purposes.

5. Fees and Payment

The Alpha version of CliniCareer is provided to you free of charge. This free Alpha period will conclude at a future date, which we will communicate to you in advance. Upon the conclusion of the Alpha period, your account may be converted to a paid license, which will begin with a free trial period. We will provide detailed information regarding subscription plans, pricing, and payment terms before any charges are incurred.

6. Restrictions on Use

You agree not to, and will not assist, encourage, or enable others to use the Service to:

• Violate any law, regulation, or court order.
• Engage in any activity that is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable. This includes, but is not limited to, stalking, bullying, or intimidating other users.
• Impersonate any person or entity, or forge or misrepresent your identity or affiliation with any person or entity.
• Upload, post, transmit, or otherwise distribute any material that is illegal, harmful, or contains viruses, Trojan horses, worms, or any other malicious code or destructive content.
• Infringe on any patent, trademark, trade secret, copyright, right of publicity, or other right of any other person or entity.
• Attempt to gain unauthorized access to the Service, user accounts, computer systems, or networks connected to the Service through hacking, password mining, or any other means.
• Scrape, crawl, or use any automated means to access the Service or extract data.
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service.

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Physician Tools LLC and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Physician Tools LLC.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PHYSICIAN TOOLS LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS, OR THAT THE INFORMATION OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PHYSICIAN TOOLS LLC, ITS AFFILIATES, AGENTS, MEMBERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THIS SERVICE.

10. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. If you wish to terminate your account, you may simply discontinue using the Service.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Deleware, United States, without regard to its conflict of law provisions.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
